These Terms and Conditions ("Terms") govern the access to and use of the services, applications, websites, products, software, digital platforms, and related services provided by Indura Health ("Indura", "Company", "we", "our", or "us"), a product and service operated by Mender Plus Technologies.

By accessing, registering for, downloading, or using Indura Health's services, users ("User", "you", or "your") agree to comply with and be legally bound by these Terms and Conditions. If you do not agree with these Terms, you must not access or use the platform or services.

Indura Health is a digital healthcare and healthcare financing platform designed to improve healthcare accessibility, affordability, healthcare savings, provider coordination, and digital health management across Africa, beginning with Nigeria.

1. Eligibility

To use Indura Health services, users must:

  • Be at least 18 years old or have legal parental/guardian consent;
  • Provide accurate and complete registration information;
  • Have the legal capacity to enter into binding agreements;
  • Comply with all applicable laws and regulations.

Indura Health reserves the right to suspend or terminate accounts where false, misleading, or unauthorized information is provided.

2. Account Registration and Security

Users may be required to create an account to access certain services.

Users are responsible for:

  • Maintaining the confidentiality of account credentials;
  • Restricting unauthorized access to their devices and accounts;
  • Ensuring all information provided remains accurate and updated;
  • All activities conducted through their account.

Users must immediately notify Indura Health of any suspected unauthorized access, account compromise, or security breach.

Indura Health is not liable for losses resulting from unauthorized use caused by user negligence or failure to secure account credentials.

3. Description of Services

Indura Health may provide services including but not limited to:

  • Digital health wallets and savings solutions;
  • Healthcare financing and payment support;
  • Healthcare provider access and coordination;
  • Telemedicine and digital consultation integrations;
  • Appointment scheduling;
  • Prescription and medication management tools;
  • Health records management;
  • Insurance-related integrations;
  • Healthcare reminders and notifications;
  • Wellness and healthcare education tools;
  • Other technology-enabled healthcare services.

Indura Health may update, suspend, modify, or discontinue any feature or service at its discretion.

4. No Medical Advice

Indura Health is primarily a technology platform and does not directly provide medical advice, diagnosis, treatment, or emergency healthcare services unless explicitly stated otherwise.

Information provided on the platform is for informational and service facilitation purposes only and should not replace professional medical consultation.

Users should consult qualified healthcare professionals regarding medical concerns or emergencies.

5. User Obligations

Users agree to:

  • Use the platform lawfully and responsibly;
  • Provide truthful and accurate information;
  • Respect the rights of healthcare providers, staff, and other users;
  • Avoid misuse, fraud, or unauthorized access attempts;
  • Comply with all applicable healthcare, financial, and technology laws.

Users must not:

  • Use the platform for illegal, fraudulent, or harmful activities;
  • Upload malicious software or harmful content;
  • Interfere with system operations or security;
  • Misrepresent identity or impersonate another person;
  • Access accounts, systems, or data without authorization.

6. Healthcare Services and Third-Party Providers

Certain services available through Indura Health may be provided by independent healthcare professionals, hospitals, pharmacies, laboratories, insurers, payment processors, or third-party partners.

Indura Health does not guarantee:

  • Availability of specific healthcare providers;
  • Medical outcomes or treatment success;

  • Availability of emergency medical care.

Healthcare decisions remain the sole responsibility of users and licensed healthcare professionals.

7. Digital Health Wallet and Payments

Indura Health may provide digital health wallet services, payment processing, healthcare savings plans, financing support, and related financial tools.

Users acknowledge and agree that:

  • Wallet balances may only be used in accordance with platform policies;
  • Certain transactions may incur fees;
  • Payment processing may involve third-party financial institutions;
  • Transactions may be subject to verification and compliance procedures;
  • Indura Health may place restrictions on suspicious or non-compliant transactions.

Users are responsible for ensuring sufficient funds and accurate payment details.

8. Subscriptions, Fees, and Billing

Certain services may require payment, subscription plans, or recurring billing arrangements. By subscribing to paid services, users authorize Indura Health or its payment partners to process applicable charges.

Fees may include:

  • Subscription charges;
  • Service fees;
  • Break savings;
  • Healthcare financing fees;
  • Transaction fees;
  • Partner provider charges.

Indura Health reserves the right to revise pricing, billing structures, or service fees at any time with reasonable notice.

9. Refunds and Cancellations

Refund eligibility depends on the nature of the service, transaction status, healthcare provider policies, and applicable laws.

Refunds may be denied where:

  • Services have already been rendered;
  • Fraudulent activity is suspected;
  • The request violates platform policies;
  • Third-party provider policies restrict refunds.

Users may cancel subscriptions in accordance with the applicable cancellation procedures.

10. Privacy and Data Protection

Indura Health collects, processes, stores, and protects personal information in accordance with its Privacy Policy.

By using the platform, users consent to the collection and processing of personal and health-related information necessary to provide services.

Users acknowledge that healthcare-related information may be shared with authorized healthcare providers, financial institutions, insurers, and service partners where required for service delivery or legal compliance.

11. Intellectual Property Rights

All platform content, technology, software, trademarks, branding, designs, logos, graphics, text, and proprietary systems are owned by or licensed to Indura Health and Mender Plus Technologies.

Users may not:

  • Copy, reproduce, distribute, or exploit platform content without authorization;
  • Reverse engineer or interfere with platform technology;
  • Use company trademarks without written permission.

Nothing in these Terms transfers ownership of intellectual property rights to users.

12. Confidentiality

Users agree to maintain confidentiality regarding sensitive information obtained through the platform, including healthcare records, account information, financial information, and proprietary business materials.

Unauthorized disclosure or misuse of confidential information may result in account suspension, legal action, or regulatory reporting.

13. Service Availability

Indura Health aims to maintain reliable platform availability but does not guarantee uninterrupted or error-free services.

Platform availability may be affected by:

  • System maintenance;
  • Technical failures;
  • Internet disruptions;
  • Third-party service interruptions;
  • Security incidents;
  • Regulatory or operational changes.

Indura Health may temporarily suspend access where necessary for maintenance, security, or compliance purposes.

14. Disclaimers

Services are provided on an "as is" and "as available" basis.

To the maximum extent permitted by law, Indura Health disclaims warranties relating to:

  • Service reliability or uninterrupted availability;
  • Accuracy or completeness of information;
  • Medical outcomes;
  • Compatibility with user devices;
  • Financial or healthcare outcomes.

Users assume responsibility for decisions made using the platform.

15. Limitation of Liability

To the fullest extent permitted by law, Indura Health, Mender Plus Technologies, affiliates, employees, directors, officers, agents, and partners shall not be liable for:

  • Indirect or consequential damages;
  • Loss of profits, revenue, or business opportunities;
  • Medical complications or healthcare outcomes;
  • Unauthorized access caused by user negligence;
  • Service interruptions or data loss;
  • Actions or omissions of third-party providers.

Total liability arising from the use of services shall not exceed amounts paid by the user to Indura Health within the preceding twelve months where permitted by law.

16. Indemnification

Users agree to indemnify and hold harmless Indura Health, Mender Plus Technologies, affiliates, employees, officers, and partners from claims, liabilities, damages, losses, or expenses arising from:

  • Violation of these Terms;
  • Misuse of the platform;
  • Fraudulent or unlawful conduct;
  • Violation of third-party rights;
  • Breach of applicable laws or regulations.

17. Account Suspension and Termination

Indura Health reserves the right to suspend, restrict, or terminate user accounts where:

  • Terms are violated;
  • Fraudulent or suspicious activity is detected;
  • Legal or regulatory obligations require action;
  • Security risks are identified;
  • False information is provided.

Users may terminate their accounts subject to settlement of outstanding obligations.

18. Compliance with Laws

Users agree to comply with all applicable laws and regulations relating to:

  • Healthcare;
  • Data protection and privacy;
  • Financial transactions;
  • Anti-money laundering requirements;
  • Technology and digital services.

Indura Health may cooperate with regulatory authorities and law enforcement where legally required.

19. Force Majeure

Indura Health shall not be liable for delays or failures caused by events beyond reasonable control, including natural disasters, cyberattacks, power outages, governmental actions, pandemics, strikes, internet disruptions, or technical failures.

20. Governing Law and Dispute Resolution

These Terms shall be governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria.

Any disputes arising from these Terms or use of the platform shall first be resolved through good-faith negotiations. Where unresolved, disputes may be submitted to arbitration or courts of competent jurisdiction in Nigeria.

21. Changes to Terms

Indura Health may update or modify these Terms periodically to reflect operational, technological, legal, or regulatory changes.

Updated versions will be published on the platform with a revised effective date. Continued use of services after updates constitutes acceptance of the revised Terms.
